1. About Me
Ralitsa | WebDesign is a sole proprietorship based in Zwolle, The Netherlands.

These Terms and Conditions apply to all quotations, agreements, and services provided by Ralitsa | WebDesign to the client.
2. Quotations and Acceptance
A project agreement is established once the client provides written acceptance (e.g., by email) of the quotation.
The quotation outlines the scope of work, pricing, and estimated timeline.
Any changes to the agreed scope will be discussed in advance and may affect the project cost and delivery schedule.
3. Pricing and Payment
All prices are exclusive of VAT unless stated otherwise.
Payment is made in two installments:
- 50% upon acceptance of the quotation;
- 50% upon completion of the website.
Invoices must be paid within 14 days of the invoice date.
If payment is not received on time, Ralitsa | WebDesign reserves the right to suspend work until all outstanding amounts have been paid in full.
4. Client Materials
The client is responsible for providing all necessary content, including text, images, logos, and other materials, in a timely manner.
Delays in providing required materials may result in delays to the project timeline, for which Ralitsa WebDesign cannot be held responsible.
The client is solely responsible for the accuracy, completeness, and legal use of all materials supplied. Any claims by third parties relating to copyright, intellectual property rights, or other legal rights concerning supplied content shall remain the sole responsibility of the client.
5. Ownership and Usage Rights
The website design and website remain the property of Ralitsa | WebDesign until full payment has been received.
Upon full payment, the client receives the right to use the delivered website for their own business purposes.
Design files, Figma files, and other source materials may not be resold, redistributed, or used for commercial purposes without prior written permission from Ralitsa | WebDesign.
6. Hosting and Domain Registration
Unless otherwise agreed in writing, hosting services and domain registration are the responsibility of the client.
Ralitsa | WebDesign may provide advice and assistance regarding hosting and domain registration but is not responsible for the performance, security, availability, or costs of third-party services.
7. Delivery and Support
Upon completion of the website, the client will receive a personal walkthrough explaining how to manage and update the website.
For 14 days following delivery, minor corrections such as text or image adjustments will be made free of charge.
Any additional work requested after this period, or work outside the original scope of the quotation, will be charged at an agreed rate.
If the client does not submit written objections within 14 days after delivery, the website will be considered accepted and officially delivered.
8. Maintenance
Unless otherwise agreed in writing, the client is responsible for website maintenance, security updates, backups, and software updates after delivery.
Ralitsa | WebDesign cannot be held liable for issues arising from a lack of maintenance or failure to perform updates after delivery.
9. Liability
Ralitsa | WebDesign will make every reasonable effort to deliver the website professionally and with due care but cannot guarantee that the website will always function without errors, interruptions, or security vulnerabilities.
Ralitsa | WebDesign shall not be liable for any direct or indirect damages, loss of data, loss of revenue, loss of profits, or any consequential damages resulting from the use of the website, except in cases of intentional misconduct or gross negligence.
Ralitsa | WebDesign aims to ensure compatibility with modern browsers and devices. Minor differences in appearance or functionality between browsers, operating systems, screen sizes, or devices shall not be considered defects and do not entitle the client to compensation or corrective work.
10. SEO
Basic SEO settings may be included as part of the project.
While these settings help establish a strong technical foundation, Ralitsa | WebDesign does not guarantee specific search engine rankings, website traffic, leads, conversions, or other business results.
11. Cancellation
If the client cancels the project after accepting the quotation, the initial 50% payment remains due to cover work already performed and reserved project capacity.
If the project is cancelled after development has started, completed work will be invoiced proportionally based on the work carried out up to that point.
12. Feedback Rounds
Each project phase (design and development) includes a maximum of two feedback rounds.
Additional feedback rounds or requests beyond the agreed project scope may be charged at an agreed hourly or project rate.
13. Portfolio Rights
Ralitsa | WebDesign reserves the right to display completed projects, designs, and websites in its portfolio, on its website, and on social media for promotional purposes.
If the client objects to this, such objection must be communicated in writing before the project begins.
14. Force Majeure
Ralitsa | WebDesign shall not be held liable for delays or failures caused by circumstances beyond its reasonable control, including illness, technical failures, internet outages, hosting provider issues, or other unforeseen events.
In such cases, project timelines may be adjusted without any entitlement to compensation.
15. Confidentiality
Both parties agree to treat confidential information received from one another with care and confidentiality.
Such information will not be disclosed to third parties unless required for the execution of the project or by law.
16. Governing Law
These Terms and Conditions are governed exclusively by Dutch law.
Any disputes arising from agreements between Ralitsa | WebDesign and the client will first be addressed through mutual consultation.
If no resolution can be reached, disputes shall be submitted to the competent court in The Netherlands.
